GENERAL TERMS AND CONDITIONS FOR THE USE OF SERVICES OFFERED BY THE “SOSESG” PLATFORM
Introduction
The following General Terms and Conditions (hereinafter, the "T&C") apply to the use by Users, as defined below, of the features (hereinafter also referred to as "Services") present within the SOSESG platform (hereinafter the "Platform"), accessible via URL www.sosesg.com (the "Site"), identified and briefly described in the following art. 1, offered by Finabout S.r.l. (hereinafter, also "Finabout"), manager of the Site. By using the Services, the User (as defined below) fully accepts these T&C; some Services may require the acceptance of additional terms and conditions to these, which will be duly reported. If you are accepting these T&C on behalf of a company or other legal entity, you hereby represent and warrant that you have the authority to bind such entity to the terms and conditions of this agreement. If you do not have such authority, you may not indicate acceptance of the terms of these T&C on behalf of such entity. By clicking "I ACCEPT", you acknowledge that you have read, understood and accepted these T&Cs and that you have the authority to bind the company or other legal entity to these T&Cs. The introduction is an integral part of the General Conditions.
1. Identification of Services
The purpose of the Platform is to provide the public of visitors or users of the Site, i.e. natural or legal persons (the “Users”), with tools and knowledge on sustainability. The Services present within the Platform, accessible from the Site, are identified, by way of example but not limited to, as follows. 1.1. Services offered to Users registered in the Reserved Area (“Registered Users”) A. Registered user with a “Basic” profile. Functionality a) management of the personal data section; b) publication of content in the Forum; c) receipt of the newsletter; d) consultation of the database on sustainability principles; e) consultation of the ESRS data points. B. Registered user with a “Premium” profile. Features In addition to the features provided by the “Basic” profile: d) drafting information for the SME-Bank Dialogue. Finabout may expand the range of Services by notifying Users on the site or via email. In this case, these T&Cs will also apply to all subsequent Services, as identified from time to time.
2. Service Provision
The Services are offered by Finabout or its assignees to Users. Finabout may at any time suspend or permanently interrupt the provision of the Services in whole or in part, as well as the right to permanently remove or modify at any time any content or information present on the Platform. Finabout does not offer any guarantee that the Services correspond to the requirements requested by the User; nor any guarantee regarding the results that are expected, hoped for or obtained through their use. Finabout will act according to professional diligence in providing the User with its Services and in guaranteeing a safe experience. Finabout excludes its own liability in relation to events that are outside its sphere of control. The Services may not be supported by some of the browsers and/or operating systems on the market or by some versions of them, and it will be the User's responsibility and responsibility to identify the correct combination of software and hardware that allows adequate use of the Services. Finabout declines all responsibility for any damage, loss, claim for compensation arising directly or indirectly from the interruption of the Services, or in any way connected to it, even if arising from blackouts or failures of the servers of Finabout or third-party suppliers of Finabout. Finabout reserves the right to interrupt the Services for maintenance or update needs of its own or third-party supplier IT systems. These interruptions for updates or technical interventions will be communicated on the Site, except in cases of force majeure.
3. Access to Services
In order to use the Services indicated in article 1, it is necessary to register in the Reserved Area of the Platform by filling in the relevant personal data and accepting the documentation submitted to the User's attention. Finabout requires personal data from the User. The processing of such data will take place in accordance with the methods set out in the Privacy Policy available within the Platform (hereinafter, the "Policy"), given pursuant to the applicable legislation on the protection of personal data. During registration, Users are required to accept these T&Cs and the privacy policy. The User must click on the appropriate button to complete the registration. By accepting the T&Cs, the User will declare that their personal data are up-to-date, correct and truthful. The user will also undertake to promptly update the data registered on the Platform so that they are constantly updated, complete and truthful. The password and identification (user name) of the User are personal, non-transferable and must be set according to the indications of the following art. 5. The User will be responsible for maintaining the confidentiality of the password and user ID. By default, User data will not be visible to other Users. The User may, at his/her discretion, unless otherwise indicated on the Platform, define the authorizations for the visibility of his/her data. In any case, Finabout reserves the right - to be exercised at its sole discretion - to not accept requests for registration to the Reserved Area of the Platform. Upon completion of the registration procedure, the User will receive a registration confirmation email at the email address provided by the User, which will contain the link from which to download the T&C and the Privacy Policy to print and keep it permanently.
3.1. Services with specific access conditions
Due to their nature, some Services offered by Finabout may require specific terms and conditions, the acceptance of which is mandatory for the User to use them. These terms and conditions will be brought to the User's attention when accessing the Service or, if circumstances make it necessary, with sufficient advance notice by email to the email address provided by the User when registering for the Services.
3.2. Payments
3.2.1 Fees. The use of the Platform by Users, where provided for in the specific section "Features for registered users" of the website www.sosesg.com and according to the conditions reported therein, is subject to the payment, based on the type of profile selected by the User, of an annual subscription fee that is non-refundable even in the event of cancellation of the account before the expiry of the relevant year. The User undertakes to pay the amounts for the use of the paid services of the Platform, based on the type of profile selected by the User, as reported on the website www.sosesg.com or communicated by email. All amounts due pursuant to these T&Cs will be paid in euros. Finabout reserves the right to review the annual subscription fees at any time and without incurring any liability towards the Users. The revision of the annual subscription fees will be communicated to the User and will apply to the next renewal year with respect to the one in progress at the time of the change.
3.2.2 Taxes. All amounts are to be considered net of VAT, therefore the User will have to pay any taxes or duties. Finabout assumes no responsibility in the event of tax non-compliance by the Users who undertake to scrupulously comply with the regulations in force in this matter.
4. Amendments to the T&C
Finabout reserves the right to modify the T&C at any time through general notices to Users published on the Site or by email to the User. The updated T&C will be available for consultation by the User on the Site, in the area visible to the public, even if not registered. In the event of the introduction of a new service available on the Platform, this will be communicated in the appropriate section of the Site. The User undertakes to keep on an adequate durable medium and to conserve the T&C and all subsequent modifications that may be made to them; to this end, Finabout will make them available in a format that allows them to be printed and saved. The use of even just one Service by the User will constitute confirmation of his/her willingness to adhere to the T&C, to any particular conditions of the Services and to the relative subsequent modifications. The modifications will be effective 30 days after the date of publication on the Site, unless otherwise indicated in the modifications themselves and unless laws or administrative provisions impose or entail a different application date. The User always reserves the right to withdraw from these T&Cs without charge by sending a communication according to the methods indicated in these T&Cs. It remains understood that in the event of withdrawal, no refund will be provided for the portion of the subscription not used.
5. User Identifiers; Indemnification
The User undertakes to use his/her user ID and/or password in the manner permitted by these T&Cs and not to commit security violations. The User who intends to register in the Reserved Area is required to use truthful data that corresponds to the actual state of things and not to share his/her access data with other Users and/or third parties. The User assumes exclusive responsibility for all his/her activities within the Services and undertakes to indemnify and hold Finabout harmless from any request or claim relating to or arising from the use or abuse of his/her use of the Services. In this sense, the User assumes exclusive responsibility for the correctness and accuracy of the data shared within the Platform, which Finabout is not required to verify. Therefore, any liability of Finabout for any damages, disputes, requests of any nature that a User or a third party may suffer or receive as a result of the use of the data made available to the Users is excluded. Violation of the obligations set forth in these T&Cs may result in the temporary or permanent suspension of the User from the Services or from accessing the Platform. A suspended or cancelled User is prohibited from registering in the Reserved Area with a different account.
6. Code of Conduct
Users who are granted the right to publish and share data within the Platform are obliged to publish content that is not: - contrary to the law, misleading, discriminatory and/or fraudulent; - such as to cause harm to the honor and reputation of Finabout and/or Finabout companies and/or initiatives launched by the same; - such as to be offensive towards third parties, including other Users; - contrary to or in violation of the rights of other users and/or third parties, including their industrial and/or intellectual property rights. - such as to interfere or attempt to interfere with the correct functioning of the Platform; - containing a virus or any harmful file. Users undertake not to perform reverse engineering to decode the Platform. Finabout assumes no responsibility for the activity carried out by Users within the Platform and reserves the right to monitor all elements shared by Users and comments published in relation to them, with the broadest right of removal. Finabout will never alter the contents uploaded to the Platform.
7. Intellectual and Industrial Property Rights
Related to the Platform and Services The User expressly acknowledges that all industrial and intellectual property rights, including, by way of example and not limited to, copyright, know-how, source code, software, hardware, projects, applications, patents, trademarks, industrial secrets, formulas, algorithms, models, databases and the like, relating to the Services, data and other materials originating from Finabout and/or its licensors or in any case made available to the User by Finabout and/or its licensors or in any case used within the Platform are and remain the exclusive property of Finabout and/or the respective owners, and that no right, except that of exclusively personal use in compliance with these T&Cs, is granted to the User in relation to the above. In particular, the User undertakes, among other things, not to perform acts of disposal (whether free of charge or for a fee) or exploitation of the multimedia contents present in the Platform, in and of the respective software and therefore, by way of example, undertakes not to reproduce them, transcribe them, make them the object of representation or performance in any form, disseminate them, communicate them to the public by any means, distribute them, translate them, rent them, publish them, disclose them, modify them, and create works based on them, in whole or in part, in any other way that is not permitted pursuant to these T&C or by mandatory provisions of law and in any case not to perform acts prejudicial to the moral right of the authors and to the economic use of said works. The User also acknowledges that he is not authorized to create derivative works from or in any way attempt to discover any source code of the software used within the Platform, including through decompilation and/or reverse engineering, or develop products or software applications based on them or that make use of them in any way. The User will remain solely responsible for any claims made by third parties due to improper use of the Platform, the Site and the App and for the consequent violation of intellectual or industrial property rights or other rights of third parties, as well as for the violation of any applicable law, with express indemnity in favor of Finabout. The databases on which the Services are based (hereinafter, the “Databases”), as well as the contents of the Platform and the Site are also protected by copyright pursuant to the law of 22 April 1941 n. 633 and subsequent amendments (hereinafter, “Copyright Law”). The Databases are also the subject of significant investments by Finabout, with consequent protection also pursuant to articles 102 bis and 102 ter of the Copyright Law. For the purposes of the aforementioned protection, the only permitted use of the Databases by users is that carried out in compliance with these T&Cs. In no event may these T&C be interpreted as granting Users the right to extract or reuse all or a substantial part of the data.
7.1. Specific rights of users; license and data uploaded by Users
The User acknowledges that he/she is the author and solely responsible for any and all information, messages, text, software, data, sound, music, photographs, graphics, videos and other materials ("Contribution/Contributions") transmitted, disclosed, exchanged or made available in any form through the Services provided by Finabout or otherwise made public in any area or space of the Platform and undertakes to indemnify and hold Finabout harmless from any claim and/or demand from third parties arising from his/her Contributions. Finabout declares that it does not carry out editorial control over the Contributions under any circumstances, except where expressly indicated, and is not required to carry out any control activity on the lawfulness, truthfulness, validity, accuracy, non-deceptiveness, non-offensiveness of the User Contributions. In any case, Finabout reserves the right to refuse and/or delete at its discretion Contributions that it deems unsuitable for publication, transmission, disclosure, exchange or making available through the Services. Finabout declines all liability for damages, claims or losses, direct or indirect, arising to the User or third parties from the transmission, disclosure, exchange or making available of Contributions provided by Users through the Services. In relation to the data and content uploaded by Users to the Platform, the User grants Finabout a non-exclusive, worldwide, free and perpetual license to publish the Contributions on the Platform in accordance with the purposes of the Services, including the right to sublicense and assign them to third parties, and the right to copy, reproduce, correct, adapt, modify, improve, translate, reformat, create derivative works, manufacture, market, publish, distribute, sell, license, transfer, rent, lease, transmit, publicly perform, communicate to the public electronically, in any way now known or hereafter discovered, any Contribution generated by the User. Finabout reserves the right to use (e.g. analyze, process and publish), in aggregate form and also for commercial purposes, the data made available by the Users. Finabout reserves, at its sole discretion, any right regarding the removal from the Platform, temporarily or permanently, of any Contribution.
7.2. Processing of data entered by the User
Finabout will process the data entered by the User only as an external Data Processor. To this end, the User hereby appoints Finabout as Data Processor. Finabout accepts the appointment at the same time as signing this T&C, having the technical capabilities to cover this role, and only and exclusively in relation to the IT management of the data entered by the User, excluding responsibility for their content and their use by the User. It is also understood that Finabout may use the organizational structure normally used in carrying out the processing carried out to carry out activities instrumental to the use of the Platform by the User. In this regard, it is specified that the controller may use its own collaborators, both internal and external, as well as its own data processors, who operate within the operational structure of the appointed controller, also in relation to data that Finabout itself processes on behalf of third parties.
8. Prohibition of Resale
The User’s right to use the Services is personal and non-transferable.
9. External Links and References
Finabout may provide links to other sites or other resources on the Internet. The User acknowledges and recognizes that Finabout has no control over the content of such sites and as a mere third party has no responsibility for the content and/or material, including advertising, disclosed on such sites or external resources or for the products or services offered therein. Such products or services cannot be considered in any way sponsored, shared or supported by Finabout and therefore the User assumes all responsibility for any purchases made of said products or services. Users may be granted the right to share links to content present within the Platform and on other social platforms present on the network. This activity will be carried out by Users in compliance with these T&Cs and the conditions applicable to the platforms to which the link is made.
10. Limitation of Liability
Finabout declines all responsibility for any claims of the User relating to the impossibility of using the Services for any reason not attributable to Finabout. Finabout assumes no responsibility for damages, claims or losses, direct or indirect, arising to the User for the failure and/or defective functioning of the electronic equipment of the User himself or of third parties, including Internet Service Providers, telephone and/or telematic connections. Finabout cannot be held in breach of its obligations nor liable for damages: a) resulting from the failure to provide the Services due to the incorrect or failed functioning of the electronic means of communication for reasons outside the sphere of its foreseeable control, including, by way of example, fires, natural disasters, lack of energy, unavailability of telephone connection lines or other network service providers, malfunctioning of computers and other electronic devices, even if not an integral part of the Internet network, malfunctioning of computer programs installed by the User; b) arising from actions of other users or other persons with access to the Internet. In the event that Finabout becomes aware of a data breach that may seriously compromise the security of the Platform, or of the User Data, Finabout may, without notice, temporarily suspend access to the Platform in order to remedy the security breach. In such case, Finabout will not incur any liability towards the Users and the Users will not request any compensation from Finabout. All contents of the Platform are written for information purposes only and may be modified or removed at any time. In no event shall Finabout, the authors of the contents contained therein, nor other subjects connected to the Platform, be liable for any damage even hypothetically connected to the use of information present on the Platform. Finabout is not liable for damages complained of by Users for any information or contents of the Platform that may offend their susceptibility or sensitivity. Finabout, as the mere owner of the Platform, assumes no responsibility for the content, reliability, truthfulness, value or accuracy of the data uploaded by registered users within the platform, nor for the respect and/or violation of any commitments, including confidentiality obligations, independently undertaken between registered users and/or with third parties. Finabout will not be in any way responsible for damages and claims of any kind arising from alleged or actual violations of third party rights, including intellectual property rights or other rights protected by law, which may arise or be caused or attributed, directly or indirectly, to the use of the platform by the user. The latter will indemnify and hold Finabout harmless from such damages and claims.
11. Account Suspension or Termination
In the event of a violation by the User of these Terms and Conditions, including failure by Users to pay the amounts required to use the Services, Finabout reserves the right to permanently suspend or disable the User's account. This right may also be exercised if the User violates provisions of law or the rights of other Users. In the event of exercising the right of suspension or disabling, Finabout will inform the user. In the event of disabling the account, these Terms and Conditions will cease to be effective for the User, with the exception of the following provisions: Art. 4; Art. 7; Art 11; Art 12. The User may request the closure of his/her account, with simultaneous termination of these T&C, at any time, via the online form "Cancellation" available on the website www.sosesg.com. The closure will be effective starting from the month following the month in which receipt of the request was confirmed. Finabout will have the right to delete the data stored on the Platform by the User subject to account closure.
12. Applicable Law and Jurisdiction
The T&C are governed by Italian law. In the event that some of the provisions are deemed invalid, void and/or in any case not applicable under the current provisions of law, the remaining provisions must nevertheless be considered fully valid and effective. Pursuant to the current legislation, for any dispute to which Finabout is a party and arising from the use of the Platform or from the violation of these T&C, the court of Milan will have exclusive jurisdiction.
